1. Introduction

Welcome to Baskt (“Company”, “we”, “our”, “us”). These Terms of Service (“Terms”) govern your use of our easy serverless SFTP server services, including our website located at usebaskt.com and app.usebaskt.com, and any products created and maintained by Baskt (collectively, the ” Services”). Please read these Terms carefully.

By using our Services, you agree to be bound by these Terms. If you don’t agree to these Terms, you cannot use the Services.

We reserve the right to update and change these Terms from time to time. Any new features that augment or enhance the current Services shall be subject to the Terms. Continued use of the Services after any such changes shall constitute your consent to such changes.

2. Account Terms

2.1. You must be at least 18 years old to use this Service.

2.2. You must be a human to create an account. Accounts registered by “bots” or other automated methods are not permitted.

2.3. You are responsible for maintaining the security of your account and password. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

2.4. You are responsible for all content posted (uploaded or downloaded) and activity that occurs under your account ( even when content is posted by others who have accounts under your account).

2.5. You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction (including but not limited to copyright laws).

3. Payment, Refunds, and Plan Changes

3.1. A valid payment method is required for paid Services. Free trials may be offered at our discretion.

3.2. The Services are billed in advance on a monthly or annual basis.

3.3. For customers within the European Union (EU), all prices displayed include applicable Value Added Tax (VAT). For customers outside the EU, prices are displayed without taxes, and any applicable taxes will be added at checkout.

3.4. Additional Charges: Some features or usage may incur additional charges beyond the base subscription fee. These may include, but are not limited to:

  • Excess bandwidth usage
  • Additional user seats
  • Premium features or add-ons
  • One-time services or customizations

All additional charges are clearly listed in our pricing table, which can be found at https://usebaskt.com. These additional charges may be billed separately on a monthly basis or as one-time fees, depending on the nature of the service or usage. We will clearly communicate any changes to these additional charges by updating our pricing table and notifying our users.

3.5. Refunds may be offered under the following conditions:

  • If you forgot to cancel your account a couple months ago and you haven’t used it since then, we’ll give you a full refund for up to two months.
  • If you were just charged for your next month of service but you meant to cancel, we’re happy to refund that extra charge.
  • If you tried one of our products for a month and you just weren’t happy with it, you can have your money back.
  • Any other circumstances where we, at our sole discretion, deem a refund appropriate.

3.6. If you are a consumer in the European Union, you generally have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period will expire 14 days from the conclusion of the contract. However, because our service involves the provision of digital content and services, you agree to waive your right of withdrawal once you begin using the service. By accepting these Terms of Service and accessing the service, you acknowledge that you lose your right to withdraw from the contract, as per Article 16(m) of the EU Consumer Rights Directive.

3.7. Effects of Withdrawal: If you withdraw from this contract, we shall reimburse to you all payments received from you, without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction; in any event, you will not incur any fees as a result of such reimbursement.

3.8. For any upgrade or downgrade in plan level, your credit card will automatically be charged the new rate on your next billing cycle.

4. Cancellation and Termination

4.1. You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Account link in the user interface at https://app.usebaskt.com/my_account/billing.

4.2. All of your content will be immediately inaccessible from the Services upon the cancellation effective date. Within 30 days, all this content will be permanently deleted from all backups and logs. This information can not be recovered once it has been permanently deleted.

4.3. The Company, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Services for any reason at any time. Such termination of the Services will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your account. The Company reserves the right to refuse service to anyone for any reason at any time.

5. Modifications to the Services and Prices

5.1. The Company reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

5.2. Prices of all Services, including but not limited to monthly subscription plan fees to the Services, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Baskt site or the Services itself.

6. Copyright and Content Ownership

6.1. All content posted on the Services must comply with French copyright law.

6.2. We claim no intellectual property rights over the material you provide to the Services. Your profile and materials uploaded remain yours.

6.3. The Company does not pre-screen content, but reserves the right (but not the obligation) in its sole discretion to refuse or remove any content that is available via the Services.

6.4. The look and feel of the Services is copyright ©2024 Baskt. All rights reserved. You may not duplicate, copy, or reuse any portion of the HTML/CSS, Javascript, or visual design elements or concepts without express written permission from the Company.

7. General Conditions

7.1. Your use of the Services is at your sole risk. The Services are provided on an “as is” and “as available” basis.

7.2. Technical support is only provided to paying account holders and is only available via email.

7.3. You understand that the Company uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services.

7.4. You must not modify, adapt or hack the Services or modify another website so as to falsely imply that it is associated with the Services, the Company, or any other Company service.

7.5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission by the Company.

7.6. We may, but have no obligation to, remove content and accounts containing content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

7.7. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Company customer, employee, member, or officer will result in immediate account termination.

8. Limitation of Liability

8.1. You expressly understand and agree that the Company shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iii) unauthorized access to or alteration of your transmissions or data; ( iv) statements or conduct of any third party on the Services; (v) or any other matter relating to the Services.

9. Governing Law and Jurisdiction

9.1. These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

9.2. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of tribunal de commerce de Paris.

10. Changes to Terms

10.1. The Company reserves the right to update and change the Terms of Service from time to time without notice. Any new features that augment or enhance the current Services, including the release of new tools and resources, shall be subject to the Terms of Service. Continued use of the Services after any such changes shall constitute your consent to such changes.
